Request for Proposals RFP # COM20230120 Traditional Television Sales Representation in the USA

A.1

OBJECTIVE(S) OF THIS REQUEST FOR PROPOSALS

The objective of this RFP is to find a trusted and reliable Sales representative partner (“supplier”) in the United States of America (USA), who can sell CBC/Radio-Canada (“CBC”) French and English traditional television commercial inventory on behalf of Media Solutions in the USA.

CURRENT SITUATION

CBC is Canada’s public broadcaster with Television channels carrying a unique local and exclusive Canadian content produced in Canada in both French and English languages, reaching Canadians from coast to coast. While CBC in-house Media Solutions team over the years focused on selling media in the Canadian territories, CBC always tendered its USA media selling to a partner who can support the growth of the revenues out of the USA. With the digital media and non-traditional media growth over the past few years, and with the complexity to separate the local and international sales in the USA on both revenue streams, CBC is planning to change the current scope of work of its sales representation agreement in the USA to include only traditional television commercial sales while excluding digital and non-traditional media in this RFP.

DESCRIPTION OF SERVICES — INCLUSIONS & EXCLUSIONS A3.1. The Services

Television advertising, commercial units of 15's, 30's, 60's and limited 90's on the following CBC platforms. A3.1.1 English Media

CBC English Network telecasts over the owned and operated stations of CBC’s English Television (CBC Network)

Non-Network telecasts over any English language Television stations owned and operated by

CBC (CBC Selective) Specialty channels (CBC News Network, Documentary Channel)

Radio-Canada (“SRC”) French Network telecasts over the owned and operated stations of SRC’s French Television Network (SRC Network)

SCOPE OF WORK

A3.2. THE EXCLUSIONS

All traditional television commercial inventory for the Olympic Games and all forms of Digital Media, and any television Sponsorship, Paid Content and Non-Traditional Revenue (NTR) is excluded from the scope of this RFP and will remain under the control of the CBC’s Media Solutions teams. Sponsorship includes both on-air and off-air selling of revenue to clients (including all platforms Television, Digital and Social) related to any type of partnership or paid content deal and includes all package components related to these deals.

Sponsorships, NTR and Paid Content deals include but are not limited to the following elements: media packaging, billboards, integration, features, custom content, custom formats, lower thirds, production, promotions, licensing, logos, events, native and social media.

A3.3 Sales Commitment

The expected traditional television commercial sales volume in the USA have been trending around $4 million CAD a year with a growth potential of 15-20% year on year. CBC is looking for a supplier who can

commit to a $4 million CAD minimum guarantee per fiscal year with a strategy to grow at 15% every year thereafter. A3.4 Timelines

This initial contract term will be for one (1) year starting April 1, 2023 until March 31, 2024, with three (3) irrevocable option(s) for CBC/Radio-Canada to extend for one (1) year period(s), by sending a written notice prior to the end of each term. Any option(s) period shall be under the same terms and conditions as those of the initial term, unless otherwise specified by CBC/Radio-Canada. A.3.5

Understanding of Mandate

The Proponent shall demonstrate that it understands all aspects of mandate mentioned herein by:

REQUIREMENTS A.4.1_|

Mandatory Requirements

Sell traditional television media in the USA at scale

Ability to demonstrate a physical presence in the USA with an actual team in place

e

Prior experience with top tier Canadian broadcasters as their traditional television commercial

Geographic Coverage

The Proponent must demonstrate their team ability to sell traditional television commercial media in

the USA, especially in the states that have a high density of advertisers headquarters and/or media agencies headquarters.

A.4.3

Bilingualism

CBC prefers to engage with suppliers who can communicate in both English and French since the RFP mandate also covers the Quebec market. While this is not a mandatory requirement, it is still highly recommended. A.5

TECHNICAL AND/OR PROFESSIONAL REQUIREMENTS A.5.1_

Professional Requirement

It is required that all Proponents submitting proposals are in compliance with CBC standard advertising terms and conditions which can be found at: https://solutionsmedia.cberc.ca/en/terms-

conditions; and by Canadian Radio-Television and Telecommunications Commission (CRTC)

regulations when selling or offering for sale any advertising time for any commercial message to be

Expertise

Proponents must provide a brief company background/credentials, plus their advertisers network footprint in the USA with brands/agencies they currently have a relationship with. Proponents must demonstrate a solid understanding of the mandate and a clear understanding of traditional television commercial media buying and selling. Proponents must demonstrate their expertise and previous extensive experience in the area of advertising sales in the USA. In addition, Proponents should

include references for their current relationship with direct advertisers or media agencies in the USA.

A.5.3.

Resources Assigned to Mandate: Skills and Experience of Employees

For the purposes of this sales representation CBC seeks to work with an experienced sales team that includes senior staff members and specialists well versed in the local Canadian traditional television commercial market and a wide advertisers network in the USA looking to reach Canadian audiences. The Proponent must demonstrate excellent and responsive client service in a high volume climate.

The quality of the team proposed by the Proponent is an essential criterion of acceptance of its proposal. Consequently, the supplier shall use commercially reasonable efforts to maintain the team assigned to such services during the term of the agreement. Should the supplier need to change key personnel, it shall consult with CBC and the parties shall agree in good faith on new key personnel.

CBC reserves the right to examine the list of members assigned to the team and require a change. In the event that the assigned team members change during the Term of the Service Agreement, CBC will retain the right to examine the resume and the details of experience of a proposed replacement and require an alternate choice.

COMMERCIAL REQUIREMENTS A.6.1

Management of Mandate

A.6.1.1.

Business Relationship and Responsibilities

The Proponent shall demonstrate its expertise and its capacity to meet CBC’s needs. The Proponent shall propose a structure for the administration of the agreement.

A.6.1.2.

Services and Support

The Proponent shall describe its customer services and its support services. The Proponent shall

propose a structure and identify the contact persons assigned to these services and the person who would work with CBC. The Proponent shall also describe the associated escalation procedures. A.6.1.3.

Activity and/or Management Reporting

In order to follow progress of mandate, The Proponent shall describe activity reports or

management reports that will be provided to CBC within the scope of an agreement. The description shall include, without limitation, for each proposed report, its frequency, its purpose,

title of report, the nature of information included in it, its distribution process to CBC, the person responsible for such report, and the database or system used to prepare such report. The Proponent shall include a sample of each such report in its proposal. A.6.1.4.

Vendor Remuneration

The Proponent shall present a complete and structured commercial proposal that highlights the

model and process of compensation for the services rendered.

A.6.2

Billing and Payments

CBC/Radio-Canada, as per policy, pays amounts due to suppliers within forty-five (45) calendar days of receipt of invoices.

However, the terms of payment will be detailed in the Agreement with the successful Proponent, who will in turn agree that CBC reserves the right to link the payments to certain milestones, for example: accounts receivable of the USA advertisers paid in full before the supplier's payment is released. A.7

COSTS Costs shall exclude any per diem expenses that could have been incurred within the scope of an Agreement with CBC. The Proponent shall be responsible for all of its own expenses unless expenses

have been pre-approved by CBC as per the Agreement signed between the parties. All quotation and cost submissions shall be unconditional and shall not depend on future or other considerations. A.8

EVALUATION CRITERIA

CBC will evaluate proposals in accordance with such criteria as it deems appropriate, including, but not limited to, the evaluation criteria set out in Append
